Welcome to MagicKit! These Terms and Conditions (“Terms”) govern your access to and use of the MagicKit platform and services (collectively, the “Services”). By using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use MagicKit.

1. Acceptance of Terms

By accessing or using MagicKit, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy which is incorporated herein by reference. If you do not agree, you must not use the Services.

2. Description of Services

MagicKit provides a tool that allows users to:

  1. Import forms from Google Forms.
  2. Beautify and customize these forms.
  3. Embed these forms onto a website.
  4. Collect and store form responses within the MagicKit system (“User Content”).

MagicKit uses privacy-friendly analytics and does not track users beyond what is necessary to provide the Services, as described in more detail in our Privacy Policy.

3. Eligibility

  1. You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services.
  2. By using MagicKit, you represent and warrant that:
    • You have the legal capacity and authority to enter into a binding agreement.
    • All information you provide to MagicKit is accurate and complete.

4. Account Registration

  1. You may be required to create an account to access certain features of the Services.
  2. You are responsible for all activities that occur under your account. You agree to keep your account credentials secure and not share them with any third party.
  3. You must immediately notify MagicKit of any unauthorized use of your account or any other breach of security.

5. User Responsibilities

  1. Form Content and Ownership

    • You retain all rights to the form data and any content (“User Content”) that you import, create, or store using the Services.
    • You are solely responsible for the content of your forms, including any text, images, or data you collect from respondents.
    • You agree that you have all necessary rights, permissions, or consents to collect, store, and process the User Content as required by applicable laws.

  2. Compliance with Laws

    • You are responsible for ensuring that your use of the Services and any data collection complies with all applicable local, state, national, and international laws and regulations, including data privacy and export laws.
    • You must provide any required notices or obtain any necessary consents from respondents before collecting their data.

  3. Prohibited Activities

    • You may not use the Services in a manner that violates any law, infringes anyone’s rights, is fraudulent, or is harmful.
    • You agree not to interfere with or disrupt MagicKit’s systems or networks.

6. Intellectual Property

  1. MagicKit Intellectual Property

    • All content and materials included on or within the Services (excluding your User Content) are the property of MagicKit or its licensors and are protected by intellectual property laws.
    • You may not use, reproduce, distribute, or create derivative works from this content without MagicKit’s express written permission.

  2. Feedback

    • Any feedback, comments, or suggestions you provide to MagicKit about the Services (“Feedback”) is voluntary. MagicKit may use the Feedback for any purpose without obligation or compensation to you.

7. Privacy and Data Collection

  1. Privacy-Friendly Analytics

    • MagicKit uses privacy-friendly analytics to improve our Services. We do not track your activity across third-party websites or services. Please refer to our Privacy Policy for details on what data we collect and how we use it.

  2. Data Storage and Security

    • MagicKit stores User Content (including form submissions) on secure servers.
    • We implement commercially reasonable security measures to protect your data. However, no data transmission or storage system can be guaranteed to be 100% secure.

  3. Third-Party Integrations

    • MagicKit is not affiliated with Google or Google Forms. Any use of Google Forms, or any third-party service, is subject to that service’s own terms and policies.
    • You are responsible for reviewing and complying with any third-party terms and conditions.

8. Payment and Subscription (If Applicable)

  1. Subscriptions

    • MagicKit may offer paid subscription plans with different features and usage limits. By purchasing a subscription, you agree to pay the fees for the plan you choose.

  2. Billing

    • All subscription fees are billed in advance on a recurring basis and are non-refundable, except as required by law.

  3. Changes to Fees

    • MagicKit reserves the right to modify subscription fees at any time, upon reasonable notice to you. Your continued use of the Services after the effective date of fee changes constitutes your agreement to the new fees.

9. Termination

  1. Termination by You

    • You may stop using the Services at any time. If you wish to delete your account, please follow the instructions within your account settings or contact MagicKit support.

  2. Termination by MagicKit

    • MagicKit may suspend or terminate your access to the Services if you violate any of these Terms, if we are required to do so by law, or for any other reason at our sole discretion.
    • Upon termination, we may delete your User Content and any other information associated with your account.

  3. Survival

    • The provisions of these Terms that should reasonably survive termination will remain in effect, including but not limited to those related to intellectual property, warranties, and liability.

10. Disclaimer of Warranties

  1. MagicKit provides the Services on an “AS IS” and “AS AVAILABLE” basis.
  2. To the fullest extent permitted by law, MagicKit disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  3. MagicKit does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

11. Limitation of Liability

  1. Indirect Damages

    • To the fullest extent permitted by law, MagicKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

  2. Aggregate Liability

    • In no event will MagicKit’s total liability for all claims arising out of or relating to these Terms or the Services exceed the amount you paid to MagicKit in the twelve (12) months preceding the event giving rise to the claim.

  3. Applicability

    • Some jurisdictions do not allow the exclusion or limitation of certain damages; therefore, some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless MagicKit, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

13. Modifications to the Services

MagicKit reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. MagicKit shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last Updated” date at the top of these Terms and, where appropriate, via email or other communication. Your continued use of the Services following the posting of changes constitutes acceptance of those changes.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in [Your Jurisdiction], and the parties consent to the personal jurisdiction and venue therein.

16. General Provisions

    • If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

  3. Waiver

    • Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of MagicKit. The failure of MagicKit to enforce any right or provision in these Terms does not constitute a waiver of such right or provision.

  4. Assignment

    • You may not assign or transfer these Terms or any rights or obligations herein without MagicKit’s prior written consent. MagicKit may assign these Terms at its sole discretion.

  5. Headings

    • Headings in these Terms are for convenience only and do not affect interpretation.
